Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Participant OS websites and services (collectively, the "Service") owned and operated by SP Digital, LLC ("Participant OS", "we", "us", or "our"). By using the Service or submitting an application through any of our forms, you agree to these Terms and to our Privacy Policy.
If you do not agree to these Terms, do not use the Service.
1. Eligibility
You must be at least 18 years old, a resident of the United States, and legally able to enter into a binding agreement to use the Service. If you are submitting an application on behalf of a minor child as a parent or legal guardian, you represent that you have the legal authority to do so and that you consent to the collection and use of the child's information as described in our Privacy Policy.
2. Our role: recruitment platform, not study operator
Participant OS is a recruitment, targeting, and sourcing platform. We do not design, conduct, administer, or supervise the research studies themselves. Our role is limited to advertising studies, screening applicants for eligibility, and referring qualified applicants to the third party operating the study (the "Study Operator").
The Study Operator is responsible for, and solely controls:
- The design, protocol, methodology, and content of each study.
- The conduct of sessions, including the physical or virtual environment, equipment, supervision, and the safety of participants during sessions.
- All consent forms, non-disclosure agreements, participation agreements, and other paperwork executed directly between the Study Operator and the participant.
- Eligibility determinations made after referral, including final selection, scheduling, and disqualification.
- The calculation, issuance, timing, and tax treatment of any compensation paid to participants.
- The handling of any personal information, recordings, biometric data, or other data collected from the participant during the study, including custody, retention, security, and any onward transfer of that data.
Once a qualified applicant is referred to a Study Operator, the Study Operator becomes the primary controller of the participant relationship and of any data the participant provides to the Study Operator directly. Any agreements, consents, or releases the participant signs with the Study Operator govern that relationship.
Participation in any specific study is not guaranteed and is subject to study-specific eligibility, capacity, and Study Operator decisions. Compensation amounts shown on our landing pages reflect what the Study Operator has indicated it will pay upon successful completion of the study, and are payable directly by the Study Operator, not by Participant OS.
3. Issues with sessions, safety, payment, or data after referral
For any question, complaint, or dispute concerning the conduct of a study session, on-site or remote safety, equipment, recordings, the amount or timing of compensation, tax forms, or the Study Operator's handling of your personal information after referral, you must contact the Study Operator directly. The Study Operator's contact details are provided to you in the confirmation email and onboarding materials they send you.
Participant OS will make reasonable efforts to put you in contact with the correct party at the Study Operator, but we are not a party to your agreement with the Study Operator and have no authority to resolve disputes between you and the Study Operator.
4. Your representations
By submitting an application, you represent and warrant that:
- The information you provide is true, accurate, and complete to the best of your knowledge.
- You are the owner of, or otherwise authorized to use, the email address and mobile phone number you provide.
- You have not been instructed by any party to misrepresent your eligibility or demographics.
- You will not submit duplicate applications across multiple identities, emails, or phone numbers.
We reserve the right to reject, disqualify, or remove any applicant or participant who misrepresents information, attempts to defraud the program, or violates these Terms. In such cases, no compensation is owed.
5. SMS messaging program terms
These SMS-specific terms apply when you opt in to receive text messages from Participant OS. By checking the SMS consent box on our intake form and submitting it, you expressly consent to receive SMS text messages from Participant OS at the mobile phone number you provided.
Program description
The Participant OS SMS program is used to send transactional and program-related messages, including application confirmations, eligibility notifications, scheduling, reminders, payment confirmations, and partner/twin pair confirmation requests for studies that require them.
Message frequency
Message frequency varies. You will typically receive between 1 and 6 messages per study you apply to. We do not send marketing or promotional messages outside the studies you have opted into.
Costs
Message and data rates may apply. Participant OS does not charge for SMS messages, but your mobile carrier may charge you according to your plan. Contact your carrier if you have questions about your plan.
Opt-out (STOP)
You can opt out of the SMS program at any time by replying STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT to any message you receive. After you opt out, we will send a single confirmation message and will not send further SMS messages to that phone number unless you opt in again. To resubscribe, reply START.
Help (HELP)
Reply HELP at any time to receive help information and our support contact details. You can also email [email protected] for support.
Supported carriers
The SMS program is available on most major U.S. mobile carriers. Carriers are not liable for delayed or undelivered messages.
Privacy
See our Privacy Policy for how we handle your phone number and SMS opt-in data. We do not share, sell, rent, lease, or transfer your mobile phone number or SMS opt-in data to third parties or affiliates for marketing purposes.
6. Acceptable use
You agree not to:
- Submit false, inaccurate, or misleading information.
- Use the Service for any unlawful purpose or to violate any law.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service or any related systems.
- Use automated means (bots, scrapers, etc.) to submit applications or scrape data from the Service.
- Resell, redistribute, or otherwise commercialize the Service or any compensation received through it.
7. Intellectual property
The Service, including all content, branding, code, and design, is the property of SP Digital, LLC or its licensors and is protected by U.S. and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, modify, distribute, or create derivative works without our written permission.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any specific study, compensation, or outcome is guaranteed.
We make no representations or warranties about any Study Operator or the studies they conduct, including but not limited to the safety of study sessions, the accuracy or completeness of study descriptions, the timely payment of compensation, the Study Operator's privacy or data-handling practices, the security of any equipment or environment used during a study, or the Study Operator's compliance with applicable law. Any reliance on Study Operator statements, including statements made on our landing pages on the Study Operator's behalf, is at your own risk.
9. Limitation of liability
To the maximum extent permitted by law, Participant OS, SP Digital, LLC, and our directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising out of or related to the Service shall not exceed the greater of (a) referral fees actually received by Participant OS attributable to your participation in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).
Without limiting the foregoing, Participant OS is not liable for any act or omission of any Study Operator, including any claim relating to physical or emotional injury sustained during a study, lost or delayed payments, unpaid compensation, taxes, withholding, the Study Operator's collection, use, retention, or disclosure of your personal information after referral, or any breach of any agreement, consent, or release entered into directly between you and the Study Operator. Your sole and exclusive remedy for any such claim is against the Study Operator.
10. Indemnification
You agree to indemnify and hold harmless Participant OS, SP Digital, LLC, and our affiliates, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to (a) your violation of these Terms, (b) your misuse of the Service, (c) your conduct during any study session, or (d) any dispute between you and a Study Operator (including any claim concerning session conduct, safety, payment, or the Study Operator's handling of your personal information).
11. Governing law and disputes
These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Clark County, Nevada, and you consent to personal jurisdiction in those courts.
12. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or for any other reason. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and governing law) shall survive.
